-
The user expressly understands and agrees that the owner bears no responsibility and cannot be held liable for any damages or losses resulting from the User's use of the API or the use of third-party products/services accessing data via the API.
2. Liability and Indemnification
Limitation of Liability
Unless expressly stated otherwise and without prejudice to applicable statutory product liability provisions, the User has no claim for damages against the Owner (or any natural or legal person acting on its behalf). This does not apply to damages resulting from injury to life, body, or health, damages resulting from the breach of essential contractual obligations necessary to achieve the purpose of the contract, and/or damages based on intent or gross negligence, provided scrumlr.io was used properly by the User. For damages not based on intent or gross negligence or affecting life, body, or health, the operator is liable only up to the amount of typical damages foreseeable at the time of contract conclusion. In particular, within the aforementioned limits, the Owner is not liable for:
-
loss of business opportunities and any other loss, including indirect loss, that the User may incur (such as commercial losses, loss of revenue, income, profits, or expected savings, loss of contracts or business relationships, loss of reputation or goodwill, etc.);
-
damages or losses caused by interruptions or disruptions of scrumlr.io due to force majeure or unforeseen and unforeseeable events that are in any case independent of the Owner's will and beyond its control, such as, but not limited to, failures or disruptions of telephone or power lines, the Internet, and/or other transmission channels, unavailability of websites, strikes, natural disasters, viruses, cyberattacks, or supply interruptions of third-party products, services, or applications;
-
losses that are not the direct result of a breach of the Terms by the Owner;
-
damages, impairments, or losses due to viruses or other malware contained in or associated with files available for download on the Internet or through scrumlr.io. Users are responsible for implementing sufficient security measures—such as antivirus software and firewalls—to prevent such infection or attack and for creating backup copies of all data or information exchanged or uploaded via scrumlr.io.
Indemnification
The User agrees to indemnify and hold harmless the Owner and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, and employees from and against any claims or demands—including, but not limited to, attorneys' fees and costs—asserted by third parties due to or in connection with a culpable use of or connection to the Service, a breach of these Terms, or a violation of third-party rights or statutory provisions by the User or its affiliates, officers, directors, agents, co-branders, partners, and employees, to the extent permitted by applicable law.
3. Common Provisions
No Waiver
The Owner's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. No waiver shall be deemed a further or continuing waiver of such term or any other term.
Service Interruption
To ensure the best possible service level, the Owner reserves the right to interrupt the Service for maintenance work, system updates, or other modifications. Within the bounds of legal regulations, the Owner may also decide to interrupt or completely terminate the Service. If the Service is discontinued, the Owner will cooperate with Users to provide them the opportunity to retrieve personal data or information in accordance with applicable law. Additionally, the Service may be unavailable due to reasons beyond the Owner's control, such as force majeure events (e.g., labor disputes, infrastructure disruptions, or power outages, etc.).
Resale of Services
Users may not reproduce, duplicate, copy, sell, resell, or exploit any portion of scrumlr.io and the Service without the express prior written permission of the Owner, granted either directly or through a legitimate resale program.
Privacy Policy
To learn more about the use of their personal data, Users can review the privacy policy of scrumlr.io.
Intellectual Property Rights
Without prejudice to more specific provisions of these Terms, all intellectual property rights, such as copyrights, trademark rights, patent rights, and design rights relating to scrumlr.io, are the exclusive property of the Owner or its licensors and are protected under applicable laws or international treaties concerning intellectual property. All trademarks – word or figurative – and all other marks, trade names, service marks, wordmarks, illustrations, images, or logos appearing in connection with scrumlr.io are and remain the exclusive property of the Owner or its licensors and are protected under applicable laws or international treaties concerning intellectual property.
Changes to These Terms
The Owner reserves the right to amend or otherwise modify these Terms at any time. In such cases, the Owner will inform the User of these changes in an appropriate manner.
Such changes will only affect the relationship with the User prospectively. Continued use of the Service means the User accepts the modified Terms. If the User does not wish to be bound by the changes, they must stop using the Service. Failure to accept the modified Terms may entitle either party to terminate the contract. The applicable previous version governs the relationship prior to acceptance by the User. The User can obtain any previous version from the Owner. Where required by law, the Owner will specify the date on which the modified Terms take effect.
Assignment of Contract
Taking into account the legitimate interests of the User, the Owner reserves the right to transfer, assign, convey by novation, or subcontract any or all rights or obligations under these Terms. The provisions regarding changes to these Terms apply accordingly.
Users may not assign or transfer their rights and obligations under these Terms in any way without the written permission of the Owner.
Contacts
All communications relating to the use of scrumlr.io must be sent via the contact information provided in this document.
Severability
Should any provision of these Terms be or be deemed void, invalid, or unenforceable, the parties shall make their best efforts to reach an amicable agreement on valid and enforceable provisions that replace the void, invalid, or unenforceable parts. Failing this, the void, invalid, or unenforceable provisions shall be replaced by the applicable statutory provisions, provided this is permitted or intended under applicable law. Without prejudice to the foregoing, the nullity, invalidity, or unenforceability of a specific provision of these Terms shall not result in the nullity of the entire contract, unless the severed provisions are essential to the contract or of such importance that the parties would not have entered into the contract had they known the provision was invalid, or in cases where the remaining provisions would impose an unreasonable hardship on one of the parties.
Governing Law, Jurisdiction
The provision of scrumlr.io as well as all legal relationships in this regard between the provider and the User shall be governed by the laws of the Federal Republic of Germany. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
In the event that the User (i) is a merchant within the meaning of the German Commercial Code (HGB), (ii) is a legal entity under public law or a special fund under public law, or (iii) does not maintain a general place of jurisdiction within the territory of the Federal Republic of Germany, Karlsruhe is agreed as the place of jurisdiction. However, the seller reserves the right to bring suit or institute other judicial proceedings at the User's general place of jurisdiction.
